1. Introduction

These Terms and Conditions govern the use of the Zynex Energy website (www.zynex.co.nz) and the supply of solar power equipment and related services by Zynex Energy Limited (“the Company”) to the customer (“the Client”). By using our website, engaging our services, or purchasing our products, the Client agrees to be bound by these Terms and Conditions.

2. Service Provision

The Company provides solar power equipment, including solar panels, inverters, and batteries, and offers installation and maintenance services. The scope of services will be as per the agreed-upon proposal and contract.

3. Pricing and Payment

Prices for equipment and services shall be as stated in the proposal or contract. Payment terms will be outlined in the contract, including any deposit required, payment schedules, and late payment penalties.

4. Installation

The Company is responsible for the installation of solar power equipment at the Client’s premises per agreed specifications and timelines. The Client must provide necessary access and cooperation for installation and maintenance services.

5. Equipment Warranty and Maintenance

All equipment supplied comes with a manufacturer’s warranty, the details of which will be provided to the Client. The Company may offer additional maintenance services as per the contract.

6. Ownership and Risk

Ownership of the equipment passes to the Client upon full payment. Risk of loss or damage to the equipment passes to the Client upon installation.

7. Liability

The Company is not liable for any indirect, incidental, or consequential damages arising from the use of the equipment. Liability shall be limited to the value of the products and services provided.

8. Termination

Either party may terminate the contract under conditions specified therein, such as breach of terms, insolvency, or by mutual agreement.

9. Force Majeure

Neither party is responsible for delays or failures in performance resulting from acts beyond their control, such as natural disasters, governmental actions, or other force majeure events.

10. Dispute Resolution

Any disputes arising from these Terms and Conditions shall first be attempted to be resolved through negotiation. If unresolved, disputes shall be subject to arbitration or legal proceedings as per the jurisdiction defined in the contract.

11. Amendments

The Company reserves the right to amend these Terms and Conditions. Any changes will be communicated to existing Clients.

12. Governing Law

These Terms and Conditions shall be governed by and construed per the laws of New Zealand.

14. Website Use and Data Collection

By accessing and using the Zynex Energy website, users agree not to misuse the website or its content. The Company collects personal information such as Name, Phone, Email, Address, Entity Type, Power Bill, and Reasons for Solar for the purpose of providing services and information. Users may also upload files such as power bills and load data for service customization.
